Terms of Service

1. Acceptance of These Terms

By creating an account, installing the extension, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Eligibility

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements and that you are not barred from using the Service under any applicable law.

3. Accounts & Sign-In

The Service uses Google Sign-In for authentication. You are responsible for maintaining the security of the Google account you use to access the Service and for all activity that occurs under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. The Service; Early-Access Status

Agashic AI is an AI workspace consisting of a Chrome side-panel extension and a web dashboard that let you interact with AI agents, analyze web-page content, save highlights, and manage your work across devices, as more fully described on our website and in the Service.

We may modify, add, or remove features of the Service at our discretion. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability.

5. AI-Generated Output

The Service uses third-party AI models to generate responses, summaries, analyses, and other content ("Output"). You understand and agree that:

• Output is machine-generated. Output is produced automatically by AI models and may be inaccurate, incomplete, outdated, or misleading. It may misstate facts or produce content that appears authoritative but is not.
• Output is not professional advice. Output does not constitute legal, financial, medical, tax, or other professional advice, and must not be relied upon as a substitute for consultation with a qualified professional.
• You are responsible for how you use Output. You are solely responsible for evaluating, verifying, and deciding whether and how to rely on or act upon any Output, and for any consequences of doing so.
• No warranty as to intellectual-property status. We make no representation or warranty that Output is original, non-infringing, or free of third-party rights, or that you may use Output for any particular purpose. Given the nature of generative AI, similar or identical Output may be generated for other users. You are responsible for confirming that your use of Output does not infringe the rights of others.

6. Acceptable Use

You agree not to, and not to permit anyone else to:

• Use the Service for any unlawful, fraudulent, harmful, or abusive purpose, or in violation of any applicable law or regulation.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying components of the Service, except to the extent this restriction is prohibited by law.
• Scrape, crawl, harvest, or systematically extract data from the Service at scale, or use bots or automated means to access the Service in a manner that exceeds normal individual use.
• Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts or data.
• Circumvent or attempt to circumvent any rate limits, usage limits, security measures, or access controls.
• Use the Service to generate or distribute malware, spam, or content that is illegal, infringing, defamatory, harassing, hateful, or that violates the rights of others.
• Resell, sublicense, or commercially exploit the Service except as expressly permitted by us.

You are solely responsible for the content, prompts, page content, selections, and other materials you submit to the Service ("User Content"), and for ensuring you have the necessary rights to submit them. We may suspend or terminate access for any violation of this section.

7. Your Content & Data

As between you and us, you retain all rights you hold in your User Content. We do not claim ownership of it. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, provide, secure, and maintain the Service for you — including sending it to the AI model providers that generate Output on your behalf. This license exists only to run the Service and ends when your User Content is deleted, except for content retained as required by law or as described in our Privacy Policy. Our collection and use of your information is governed by the Privacy Policy, which you should read to understand our practices.

8. Bring-Your-Own-Key (BYOK) API Keys

The Service allows you to provide your own AI provider API keys ("BYOK"). If you do, you are solely responsible for your use of those keys and for complying with the applicable AI provider's terms of service, usage policies, and any fees or charges they impose. You represent that you are authorized to use any key you submit. We store your keys as write-only secrets, encrypted at rest using Google Cloud Key Management Service (KMS); they are never returned to any client after submission and are decrypted server-side only at the moment a request is made to the corresponding provider on your behalf, as described in our Privacy Policy. We are not responsible for the acts, omissions, availability, or billing practices of any third-party AI provider.

9. Paid Plans, Billing & Refunds

Certain features of the Service may require a paid plan or subscription. Paid plans are purchased through the web app, and payments are processed by our third-party payment processor, Stripe. By purchasing a paid plan, you authorize us and Stripe to charge your selected payment method for the applicable fees, which recur on the interval you select (for example, monthly or annually) until cancelled. Purchases never occur inside the extension.

Pricing and plan features are subject to change. We will provide reasonable advance notice of any change to the recurring fees for your plan, and any change will take effect at your next billing cycle. Except where required by law, fees are exclusive of taxes, and you are responsible for any applicable taxes.

Refunds. Except where required by applicable law, fees are generally non-refundable. As a goodwill matter during early access, if you are not satisfied you may request a refund of your most recent payment within 14 days of that charge by contacting us at support@agashic.ai, and we will refund it and discontinue your paid service. You may cancel your subscription at any time; cancellation stops future charges but does not, except as stated above or as required by law, entitle you to a refund of fees already paid for the current billing period.

10. Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and the "Agashic" name and marks, is owned by us or our licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. We reserve all rights not expressly granted. You may not use our name, logos, or marks without our prior written permission.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason — including if we believe you have violated these Terms, to protect the Service or other users, or if we discontinue the Service — with or without notice. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including the AI-output disclaimer, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

12. Disclaimers of Warranty

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any Output will be accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Agashic and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your User Content, your use or misuse of the Service, your use of any Output, your BYOK keys, or your violation of these Terms or of any applicable law or the rights of a third party.

15. Governing Law

These Terms are governed by the laws of the State of Washington, U.S.A., without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Washington will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts, except where prohibited by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last updated" date above and, where appropriate, by additional notice in the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
